GATORADE® PLAYER OF THE YEAR 25TH ANNIVERSARY SWEEPSTAKES ("SWEEPSTAKES") OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. HOW TO ENTER. Visit www.playeroftheyear.gatorade.com (the "Website"), between 12:00 a.m. (midnight) Central Time ("CT") on December 10, 2009 and 11:59 p.m. CT on June 30, 2010 and follow instructions to enter. Limit one entry per person/email address/household/per day. A "day" is defined as 12:00 a.m. CT to the following 11:59 p.m. CT. You must be entered by no later than 11:59 p.m. CT on June 20, 2010 to be eligible for the Grand Prize drawing. First Prize entries will be taken until 11:59 p.m. CT on June 30, 2010. Sponsor and its agencies will not accept entries that are late, incomplete, misdirected, unintelligible or lost. Use of any robotic, automatic, programmed or similar entry method or more than one entry per day will void all entries and result in disqualification.

2. ELIGIBILITY. Open only to legal residents of the 50 United States and the District of Columbia, who are 18 years of age or older as of December 10, 2009. Void where prohibited by law. Employees, officers and directors of The Gatorade Company ("Sponsor"), its parent, affiliates, subsidiaries, distributors, advertising and promotional agencies and the immediate family members (spouse, children, parents, siblings) or household members (whether or not related) of each are not eligible. The Sweepstakes is subject to all federal, state and local laws and regulations.

3. DRAWING. First Prize winners will be selected in a random drawing on or about the Drawing Dates listed in Rule #1, from among all eligible entries received during the corresponding Entry Period. Entries will not carry forward to subsequent drawings, except for the Grand Prize Drawing. The Grand Prize winners will be selected in a random drawing to be held on or about June 21, 2010, from among all eligible entries received from 12/10/09 through 6/20/10. All drawings will be conducted by an independent judging organization ("judges") whose decisions are final and binding in all matters relating to this Sweepstakes. First Prize winners will receive their prize by mail within 4-6 weeks of each drawing. Potential Grand Prize winners will be notified by phone and/or email on or about June 22, 2010.

4. PRIZE/APPROXIMATE RETAIL VALUE/ODDS OF WINNING. Two (2) Grand Prizes: Winner will receive a trip for two (2) to the 2010 ESPY Awards event in Los Angeles, CA. Travel dates are July 13 – 15, 2010. Grand Prize consists of round-trip coach, air transportation for winner and a guest (from a major commercial airport nearest the winner's U.S. home), two (2) nights hotel room accommodations (one-room, double-occupancy), admission for two (2) to the Gatorade Athlete of the Year luncheon, admission for two (2) into the 2010 ESPY Awards event, walk on the red carpet, ground transportation to/from airport/hotel/event, and $1,000 spending money (to be awarded in the form of a check or wire transfer, payable to winner). Travel and accommodations are subject to availability and change, and are at Sponsor's discretion. Specifically, Sponsor will specify actual travel dates in its sole discretion. Trip must be taken on dates specified by Sponsor; no alternative travel dates are available. Approximate Retail Value (ARV) of Grand Prize: $3,600.00 each. Actual value may depend on city/day/time of departure and destination. All other costs and expenses associated with the prize and not specifically described are the sole responsibility of the winner. All travel subject to availability, government restrictions and regulations, hotel and airline restrictions and regulations. Sponsor assumes no responsibility for cancelled, delayed, suspended or rescheduled events (including airline flights and ESPY Awards event). Travel guests must sign and return a travel release before any ticketing or travel occurs. Winner and travel guest must have all necessary identification and/or travel documents (e.g., a valid U.S. driver's license) required for travel within the United States. Winner and travel guest must travel on same itinerary. In the event winner is a minor in his/her state of residence, winner must be accompanied by a parent or legal guardian. If a travel guest is a minor, he/she must be accompanied by a parent or legal guardian. Ten (10) First Prizes (One [1] per Entry Period): The First Prize for all Entry Periods (except Entry Period 2) is an authenticated, autographed sports jersey significant to the "Featured Sport" corresponding to the particular Entry Period as stated in Rule #1. The First Prize for Entry Period 2 is an authenticated, autographed volleyball. Each First Prize will include a certificate of authentication. Sponsor neither warrants nor represents that a First Prize can be sold or traded for the stated value; actual value depends on market conditions which fluctuate. Autographs have no cash value. ARV of First Prizes range from $40.00 to $209.99 with an average value of: $107.49 for First Prizes. Prizes are not transferable or redeemable for cash and prize substitution will not be allowed, except at sole discretion of the Sponsor who reserves the right to substitute a prize of equal or greater value. Any difference between stated value and actual value will not be awarded. Winner is solely responsible for paying all applicable federal, state, local taxes, if any, and all other unspecified expenses associated with the acceptance and/or use of prize. Unclaimed prizes will not be awarded. Limit one (1) First Prize and one (1) Grand Prize per person/per email address/per household. Odds of winning will depend on the number of eligible entries received. ARV of all prizes: $8,274.89.

5. GENERAL. Potential Grand Prize winners will be notified by phone and/or email and will be required to respond to the phone call and/or email within 48 hours indicating whether he/she can accept the prize. If no return call and/or email is received within the time allotted, an alternate Grand Prize winner may be selected, at Sponsor's discretion. Any alternates selected will also be required to respond to the phone call and/or email within 48 hours. Grand Prize winners will be required to sign and return to Sponsor an Affidavit of Eligibility, Liability Release and Publicity Release (where permitted by law) within four (4) days of attempted delivery. If travel documents are required (as stated in Rule #4), once they are issued, travel arrangements may not be changed without the express approval of Sponsor, which may be withheld for any reason whatsoever. Failure to comply with these conditions or the return of prize documents as undeliverable, will result in forfeiture of prize, without compensation. If a winner is a minor, prize may be awarded to the minor's parent/legal guardian who must assume all responsibilities of prize winner. Participation constitutes permission (except where prohibited by law) to use winner's name and likeness for purposes of advertising, promotion, and publicity purposes without additional compensation, unless prohibited by law. Entrants agree to abide by these Official Rules and by the decisions of judges. Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process. In the event of a dispute as to any entry, the entry will be deemed to be made by the name appearing on the online registration/entry form. By accepting a prize, winner releases and agrees to hold harmless Sponsor, its parent company, and each of their respective affiliates, directors, employees, officers and agents, including without limitation, their advertising/promotion agencies from any and all liability, injury, loss, or damage of any kind, including but not limited to personal injury or death, arising from or in connection with participation in the sweepstakes, or the awarding, receipt, possession, use or misuse of any prize and/or with respect to participation in any prize-related activity. Sponsor and its agencies are not responsible for any incorrect or inaccurate information caused by Website users; any error, omission, interruption, deletion, defect, delay in operation or transmission, communications-line failure, theft, or destruction or unauthorized access of the Website; or downloading materials from or use of the Website. If, in the judges' opinion, there is any suspected or actual evidence of tampering with any portion of the promotion, or if technical difficulties compromise the integrity of the game, the judges reserve the right to disqualify suspect entries and/or modify or terminate the Sweepstakes in a manner deemed reasonable by the judges, at the judges' sole discretion.

6. WAIVER. By entering this Sweepstakes, participant waives all rights to claim punitive, incidental and consequential damages, attorneys' fees or any damages other than actual out-of-pocket costs incurred to enter.

7. WINNERS' LIST. For the names of the winners, send a self-addressed, stamped- envelope to: Gatorade Player of the Year 25th Anniversary Sweepstakes Winners' List Request, P.O. Box 4650, Young America, MN 55558-4650. Requests must be received by July 30, 2010.
